Day Academy Live Interactive Lecture, Copyright and Privacy Policies:
- By using any service provided, You agree and understand that Day Academy live, interactive video presentations are presented on Zoom. All sessions are recorded and made available via download to the viewing audience after the presentation. Recorded programming is made available for resale to the public.
- Day Academy is committed to starting all live lectures promptly at their scheduled time. In the rare case of a cancellation due to presenter illness or emergency, we will promptly notify all registered participants via email and promptly schedule a replacement session.
- 1. Acknowledgement of Recording
- By enrolling in any Live, Interactive Video Presentation ("Session") with Day Academy LLC ("Company," "we," "us," "our"), you ("Student," "you," "your") acknowledge and agree that all Sessions may be recorded in their entirety, including video, audio, and chat interactions.
- 2. License Grant for Your Contribution & Likeness
- By participating in a Session with your video, audio, or chat features enabled, you hereby grant Day Academy LLC and its associates a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, distribute, and display your name, voice, likeness, image, any background setting visible in your video feed, and any content you contribute during the Session (collectively, "Your Likeness") in any and all media, now known or hereafter devised, for the following purposes:
- Marketing and promotional activities (e.g., advertisements, sample lessons, trailers).
- Educational and archival purposes (e.g., on-demand courses, internal training).
- Rebroadcasting and redistribution as part of our educational content library.
- 3. Intellectual Property Ownership and Use Restrictions
- Company IP: All pre-existing and newly created materials provided by Day Academy, including but not limited to presentation slides, curricula, lecture content, and the recorded Lecture Sessions themselves (excluding Your Likeness as licensed above), are and shall remain the sole and exclusive intellectual property of Day Academy LLC and Jared N. Day. This includes all copyrights and other proprietary rights.
- Student IP: Any original intellectual property you create independently outside of the Session remains your sole property. Questions, comments, and insights you voluntarily contribute during a recorded Session are subject to the license granted in Section 2.
- Unauthorized Use Prohibited:
- You may not download, reproduce, re-upload, redistribute, modify, create derivative works from, or publicly display or share any part of the Session recordings, course materials, or the content on historyacademybyday.com without our express prior written permission. This prohibition includes, but is not limited to, use of clips or screenshots for any purpose, whether educational, commercial, or for commentary.
- Fair Use Acknowledgement: This agreement does not restrict any lawful "fair use" of our content under copyright law, such as brief, credited excerpts for review, critique, or news reporting. Any such use must comply with applicable law and include a clear attribution and link to the original content at: https://historyacademybyday.com.
- Enforcement: Any violation of these terms constitutes copyright infringement. Day Academy LLC reserves the right to pursue all available remedies, including issuing takedown notices (copyright strikes), seeking the removal of infringing content, and taking legal action for injunctive relief and/or monetary damages.
- 4. Student Control and Privacy
- You retain control over your immediate privacy during Sessions. You may disable your video and mute your microphone at any time. Please be aware that audio from your environment may still be captured if your microphone is active. We recommend participating from a private setting to protect your and others' privacy.
- 5. Third-Party Platforms & Disclaimer
- We use third-party platforms, such as Zoom, Eventbrite, and other vendors to host Sessions. Your use of these platforms is also governed by their respective Terms of Service and Privacy Policies. Day Academy LLC is not responsible for the performance, data security, privacy practices, or any failures of these third-party services. You use these services at your own risk.
- 6. Limitation of Liability
- To the fullest extent permitted by applicable law, Day Academy LLC, its members, managers, employees, and agents (including Jared N. Day) shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or use, arising out of or in any way connected with your participation in the Sessions, the use of recordings as permitted herein, or the acts or omissions of any third-party service provider, even if the company has been advised of the possibility of such damages.
- 7. Indemnification
- You agree to indemnify, defend, and hold harmless Day Academy LLC and Jared N. Day from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your breach of these terms or your violation of any law or the rights of a third party.
- 8. General Provisions
- Governing Law & Jurisdiction: These terms shall be governed by the laws of the State of Connecticut, without regard to its conflict of law principles. Any legal action shall be brought in the courts located in Windham County, State of Connecticut.
- Severability: If any provision of these terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
- Entire Agreement: This document constitutes the entire agreement between you and Day Academy LLC concerning the subject matter herein and supersedes all prior communications and proposals.
